1Agreement to Terms

By accessing or using TradeHub's B2B Commercial Distribution platforms (including our landing page, Dealer Android Application, and Distributor Portal), you agree to be bound by these Terms & Conditions.

If you do not agree to all of these Terms, you are prohibited from using our services and must discontinue use immediately.

2Platform Role & Disclaimers

TradeHub operates exclusively as a Software-as-a-Service (SaaS) transaction routing system.

• Not a Seller: TradeHub is not a merchant of record, seller of goods, cargo handler, or logistics operator. All physical fulfillment remains the sole responsibility of the respective wholesale distributor.
• Not an Invoice Issuer: The platform does not generate legally binding tax invoices or handle tax calculations. Tax treatment, GST compliance, CGST/SGST/IGST applications, and invoice issuance remain strictly between the distributor and dealer.
• No Financial Brokerage: TradeHub does not act as a payment escrow agent, financial broker, or credit insurer. We carry zero liability for commercial payment defaults, inventory discrepancies, or delivery failures.

3Registration & Credential Security

Dealers and distributors must provide accurate business registration details, including a valid Goods and Services Tax Identification Number (GSTIN). Account login relies on secure mobile numbers and OTP verification. You are entirely responsible for:

• Maintaining the confidentiality of your login OTP credentials.
• Authorizing all transactions, purchase requests, and connection selections submitted from your account.
• Promptly notifying us of any security breaches, unauthorized logins, or system exploits.

4Connection Secrets & Lockout Cooldowns

To establish secure communication, dealers connect to regional distributors using unique connection secrets.

To maintain system integrity and prevent accidental or malicious link disruptions, a mandatory 7-day security lockout cooldown is enforced on the regeneration of distributor connection secrets. Regenerated secrets cannot be reverted or changed again during this period.

5Limitations of Liability

In no event shall TradeHub, its designated developers, directors, or partners be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our applications. This includes, but is not limited to, lost business profits, database downtime, inventory mismatches, or GST tax discrepancies.

6Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. You submit to the exclusive jurisdiction of the state and federal courts located in Gujarat, India, for any dispute resolution arising out of platform usage.
